1. Who we are

Fulxrum is the trading name of [[LEGAL_BUSINESS_NAME]], a sole proprietorship at [[REGISTERED_ADDRESS]], [[CITY]], [[STATE]] [[PIN]], India (“Fulxrum”, “we”, “us”). These terms apply when you use this website or buy our services (“you” means the business buying them).

If you and we sign a proposal or statement of work, it takes priority over these terms where the two differ.

2. Our services

We offer a Discovery audit, a Pilot, a Build and Maintenance, as described on our pricing page. The exact scope, deliverables, dates and acceptance test for a Pilot or Build are set out in your proposal or statement of work.

3. Prices and payment

  • Prices are fixed and in US dollars.
  • AI model and hosting costs are billed separately, at cost.
  • The Discovery audit is paid upfront. A Build is paid by milestone, with an advance at the start. Maintenance is billed monthly.
  • You can pay by card through Razorpay or by US bank transfer (ACH).

4. The acceptance test

Before we start a first project, we agree with you a test it must pass on your own data. Our first 3 clients pay for their Pilot only after it passes that test.

5. What you agree to provide

  • The access, examples and data listed in your proposal, on time.
  • A person to review and approve what the system produces.

Nothing the system produces is sent without a person on your side approving it. You are responsible for what you approve and send.

6. Who owns what

Once you have paid for it, you own the code we build for you. We keep our general know-how and any tools we made before or outside your project. Open-source components stay under their own licenses.

7. Confidentiality

Each of us keeps the other’s confidential information private and uses it only for the project. We are happy to sign your non-disclosure agreement.

8. Your data

We handle your data as described in our security commitments and privacy policy. We do not train on, sell or share it.

9. Cancellation and refunds

Cancellations and refunds follow our refund and cancellation policy. Delivery times follow our service delivery policy.

10. Our responsibility to you

We will do the work with reasonable skill and care. AI can make mistakes, which is why a person approves everything the system drafts and why prices follow your fixed rules. Our total liability to you for any claim is limited to the fees you paid us in the 12 months before the claim.

11. Governing law

These terms are governed by the laws of India. The courts of [[JURISDICTION_CITY]], India have jurisdiction over any dispute.

12. Changes to these terms

We may update these terms. The date at the top shows when they last changed. Work already agreed in a signed proposal keeps the terms that applied when it was signed.
